**Fully-Remote Crowdsourcing Paralegal Position**
We are a specialized law firm focusing on a range of areas including Exempt Equity and Debt Offerings, Capital Markets, Broker-Dealer and Investment Advisory Services, Digital Assets and Blockchain, Technology and Risk Management, Corporate Law, and Corporate Transactions. We are looking for a highly motivated and detail-oriented Fully-Remote Crowdsourcing Paralegal to join our team.
**Job Description:**
We need someone who has hands-on experience with document management, particularly in overseeing the execution of subscription agreements and closing documents. This role will support our legal team in matters related to private placements, exempt offerings, and Regulation D (Reg D) along with corporate state filings.
**Key Responsibilities:**
- **Private Placement Memoranda (PPM) and Offering Documents Support:**
- Draft, review, and finalize PPMs.
- Ensure all required disclosures and risk factors are completed within SEC regulations.
- Prepare financial statements and subscription agreements.
- Review and maintain offering materials for accuracy and completeness.
- **Regulation D (Reg D) and Crowdfunding Offerings:**
- Prepare documents for Reg D Rule 504, Rule 505, and Rule 506 offerings.
- Assist in preparing Form D with the SEC and coordinate state-level Blue Sky filings.
- Handle documents for (Reg CF) offerings, including Form C filings and compliance with offering limits and investor caps.
- **Governance Support:**
- Manage state-level corporate filings, certificates of incorporation, amendments, and corporate qualifications.
- Oversee cap tables through platforms like Carta.
- Understand the importance of shareholder resolutions, issues, and compliance documentation.
- **Compliance:**
- Ensure compliance with federal and state securities laws for private offerings.
- Track filing deadlines, including SEC filings such as Form D and Form C.
**Qualifications:**
- **Education:**
- Paralegal certification from a reputable institution.
- Bachelor's degree, MBA preferred.
- **Experience:**
- Minimum of 3-10 years as a paralegal focused on securities law, private placements, or capital markets.
- Direct experience with PPM preparation and exempt securities.
- Familiarity with Form D, Form C, and Blue Sky compliance is required.
**Key Proficiencies:**
- Legal writing and drafting proficiency with the ability to prepare clear, concise, and legally sound documents.
- Strong knowledge of securities laws, including the Securities Act of 1933, Regulation D, and Regulation CF.
- Exceptional attention to detail for ensuring disclosures comply with legal standards.
- Analytical skills for interpreting complex legal and financial information.
- Collaborative experience working closely with attorneys, clients, and regulatory bodies.

- Base salary range: $120K-$150K plus bonus.
